TERMS & CONDITIONS

2.TELL-A-FRIEND:You may receive one (1) additional entry per day by following the instructions and referring five (5) different friends with whom you have an existing personal relationship and who you think would be interested in receiving an email informing them about this Sweepstakes. All referrals/entries must be received no later than 11:59:59 P.M. ET on 6/28/09.

3. PRIZES & ODDS OF WINNING: GRAND PRIZE (1): One (1) Grand Prize Winner will receive one (1) trip for two consisting of: round trip coach airfare for two (2) persons departing from the major airport nearest to Winner's residence to the destination (Seattle, WA); hotel accommodations (one standard room; double occupancy for 4 days/3 nights) at a hotel in destination city designated by Sponsor (ARV $2500). NOTE: Regardless of Prize won, prizes are not redeemable for cash, nor are they transferable or substitutable except by the Sponsor with one of equal or greater value. All federal, state and local taxes are the responsibility of each Winner. Limit: One Prize per person or household address. Odds of winning depend on number of eligible entries received.

4. RANDOM DRAWING: On or about 6/28/09, the names of the potential winners will be selected in a random drawing, conducted by the Sponsor, from among all of the eligible entries received. Potential winners will be notified by email, phone and/or postal mail on or about 7/1/09. Sponsor's decisions will be final in all matters pertaining to this Sweepstakes.

5. ELIGIBILITY: Sweepstakes is open only to legal residents of the 48 contiguous United States and District of Columbia; 18 years or older as of date of entry. Officers, directors, and employees (including members of their household or their immediate family members, i.e. parent, spouse, child or sibling and persons residing with them) of the Sponsor, its subsidiaries, affiliated companies, distributors, advertising/promotion and/or fulfillment agencies and all other companies or entities associated with the Sweepstakes (hereinafter collectively referred to as "Sponsor & Others") are not eligible to participate or win.

6. LIMITATIONS OF LIABILITY/INTERNET: Sponsor & Others are not responsible for interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or jumbled, scrambled or misdirected entries or transmissions, or for phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties or for other errors, omissions, interruptions, or deletions of any kind whether human, mechanical or electronic or for any damage to any person's computer related to participating in the promotion. Sponsor & Others are not responsible for illegible, unintelligible, late, lost or stolen entries or incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human errors which may occur in the processing of any entries in this Sweepstakes. Persons found tampering with or abusing any aspect of this Sweepstakes, as solely determined by the Sponsor, will be disqualified and may be subject to prosecution. Any person who attempts to enter with multiple email addresses, under multiple identities or uses any other device or artifice to enter multiple times or to interfere with the proper play of this Sweepstakes, will be disqualified from participation in the Sweepstakes. If in the judgment of the Sponsor, the Sweepstakes is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of the Sponsor, which corrupts the administration, security, fairness or proper play of the Sweepstakes, the Sponsor reserves the right, in its sole discretion to discontinue, suspend or terminate the Sweepstakes and proceed in a manner it deems fair and reasonable, including selecting the potential winner in a random drawing from among all eligible entries received prior to the discontinuation, suspension or termination of the Sweepstakes. Any personally identifiable information collected during an entrant's participation in this promotion will be collected by the Sponsor and used by the Sponsor, its affiliates, agents and marketers for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules and in accordance with the Sponsor�s Privacy Policy as stated at www.urbanoutfitters.com. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a Winner based on an email address, the winning entry will be declared made by the authorized account holder of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

7. GENERAL: By entering the Sweepstakes, entrants agree to be bound by these Official Rules. By accepting a prize, each Winner grants the Sponsor the right to use his/her individual name, address, photograph, and likeness, for advertising, publicity & promotion purposes and for any other such purposes as the Sponsor so determines, in any and all media, including the Internet, worldwide without limitation, without further compensation or permission, except where prohibited by law. Sponsor & Others are not responsible for any liability, whether directly or indirectly, including, without limitation, liability in connection with any injuries, damages or losses of any kind, whether direct or indirect, whether to property or person, including death, arising out of the acceptance, use and/or misuse of the Prize and/or participation in this Sweepstakes, and they will be held harmless against any claims of liability arising directly or indirectly from any Prizes awarded. SPONSOR MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, REGARDING ANY PRIZE. The interpretation of these Official Rules shall be governed by the laws of the Commonwealth of Pennsylvania. Any and all disputes will be resolved individually, and without resort to class action, in the appropriate courts in the Commonwealth of Pennsylvania exclusively, and subject to the Commonwealth of Pennsylvania. Should there be a conflict between the laws of the Commonwealth of Pennsylvania and any other laws, the conflict will be resolved in favor of the laws of the Commonwealth of Pennsylvania. All Federal, state and local laws and regulations apply. Void in Puerto Rico and where prohibited or restricted by law.
